Terms of Service

These terms govern your access to and use of Textent. Please read them carefully; by using the Service you agree to them.

1. Definitions

In these Terms, the following definitions apply:

  • Service means the Textent applications, websites, APIs, and related services we provide.
  • Account means the account you create to access the Service.
  • Connected Account means any third-party messaging or payment account you link to the Service.
  • Your Content means the messages, files, contacts, and other materials you submit to or manage through the Service.
  • Subscription means a paid plan you purchase on a recurring basis.
  • AI Output means suggestions, drafts, summaries, scores, and other content generated by the machine-learning features of the Service.

2. Agreement to these terms

These Terms of Service (the Terms) form a binding agreement between you and Textent (Textent, we, us, or our) and govern your access to and use of the Service. By creating an Account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, in which case you refers to that entity.

Our Privacy Policy, Acceptable Use Policy, and, where applicable, our Data Processing Addendum are incorporated into these Terms by reference. If there is a conflict between these Terms and the Data Processing Addendum regarding the processing of personal data, the Data Processing Addendum prevails.

3. Eligibility and registration

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service. You are responsible for the information you provide when registering and for keeping it accurate and current.

You are responsible for safeguarding your credentials and for all activity that occurs under your Account. You must notify us promptly at security@textent.site if you suspect any unauthorized access or use.

You may invite other users to your workspace. You are responsible for the acts and omissions of users in your workspace and for ensuring they comply with these Terms.

4. The Service and changes

Textent provides a unified messaging and commerce platform that lets you connect third-party messaging channels, manage conversations from a single inbox, draft and send replies, prioritize leads, and collect payments. The features available to you depend on the plan you select.

We may add, change, or remove features from time to time. We will not make changes that materially reduce the core functionality of a paid plan during your then-current billing period without giving you notice.

5. Beta and early-access features

We may offer features identified as beta, preview, or early access (Beta Features). Beta Features are provided as is, may be changed or withdrawn at any time, and may be less reliable than generally available features. We provide them without warranty, and your use of them is at your own discretion.

6. Connected accounts and third-party services

The Service lets you connect Connected Accounts you hold with third-party messaging and payment providers. Your use of those providers remains subject to their own terms and policies. You represent that you own, or are authorized to manage, each Connected Account you link, and that your use of the Service with those accounts does not violate the relevant provider rules.

We are not responsible for the availability, accuracy, or conduct of any third-party service, and connecting such services is at your own risk. A provider may suspend, rate-limit, or terminate access at any time, which may affect the Service. Links to third-party websites or resources are provided for convenience only, and we do not endorse or take responsibility for them.

7. Acceptable use

You agree to use the Service only for lawful purposes and in accordance with our Acceptable Use Policy, which is incorporated into these Terms by reference. You must not use the Service to send unsolicited bulk messages, harass any person, infringe any right, or violate any law or any messaging platform rules.

8. Subscriptions, fees, and billing

Paid plans are offered on a subscription basis and are billed in advance on a recurring monthly or annual cycle through our payment processor. By selecting a paid plan you authorize us to charge the applicable fees, including per-seat fees, to your payment method on each renewal until you cancel.

Fees are stated exclusive of taxes, and you are responsible for any taxes, levies, or duties, except for taxes on our net income. Unless required by law, fees are non-refundable, and there are no refunds or credits for partial billing periods, seats added mid-cycle, or unused capacity.

You may cancel at any time from your billing settings. Cancellation takes effect at the end of the current billing period, and you keep access until then. We may change our fees on renewal by giving you at least 30 days notice before the change takes effect.

  • Free plans may be modified or discontinued at any time.
  • Trials, where offered, convert to a paid Subscription at the end of the trial unless you cancel beforehand.
  • Failed payments may result in suspension or downgrade of your Account.

9. Your content and license

You retain all rights in Your Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely as needed to provide and improve the Service for you and as described in our Privacy Policy.

You are solely responsible for Your Content and for ensuring you have the rights and any consents needed to process it through the Service, including the consent of the people you communicate with where required by law.

10. Feedback

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

11. Intellectual property

The Service, including its software, design, and trademarks, is owned by Textent and its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights in the Service. You may not copy, modify, reverse engineer, resell, or create derivative works of the Service except to the extent permitted by law.

12. AI features

Certain features use machine learning models to generate AI Output. AI Output may be inaccurate or incomplete, and you are responsible for reviewing it before relying on or sending it. You should not treat AI Output as professional advice, and you must not represent AI Output as having been produced by a licensed professional where it was not. We do not warrant that AI Output is accurate, appropriate, or fit for any particular purpose.

13. Privacy and data protection

Our handling of personal data is described in our Privacy Policy. Where we process personal data on your behalf in providing the Service, our Data Processing Addendum applies and forms part of these Terms.

14. Suspension and termination

You may stop using the Service and delete your Account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if your use poses a risk to the Service or others, if required by a third-party provider or by law, or if your Account is inactive for an extended period.

On termination, your right to use the Service ends and we may delete Your Content in line with our data retention practices. Sections that by their nature should survive termination, including those on fees owed, intellectual property, disclaimers, limitation of liability, and indemnification, will survive.

15. Disclaimers

The Service is provided on an as is and as available basis. To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defect will be corrected.

16. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to the Service. Our total liability for any claim arising out of or related to the Service will not exceed the greater of the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or one hundred dollars.

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, or for fraud.

17. Indemnification

You agree to indemnify and hold Textent harmless from any claims, damages, liabilities, and expenses, including reasonable legal fees, arising out of your use of the Service, Your Content, your Connected Accounts, or your breach of these Terms or of any law or third-party right.

18. Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, outages of third-party providers or networks, labor disputes, or governmental action.

19. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law.

20. Governing law and disputes

Before bringing a claim, you agree to try to resolve the dispute informally by contacting us at hello@textent.site, and we will try to resolve it with you in good faith.

These Terms are governed by the laws of the jurisdiction in which Textent is established, without regard to its conflict-of-law rules. You agree to resolve any dispute arising out of or relating to these Terms or the Service in the courts of that jurisdiction, and you consent to the personal jurisdiction of those courts, except where applicable law gives you the right to bring proceedings elsewhere.

21. General

  • Entire agreement: these Terms, together with the policies incorporated by reference, are the entire agreement between you and us regarding the Service.
  • Severability: if any provision is held unenforceable, the remaining provisions remain in full force.
  • Waiver: our failure to enforce any right or provision is not a waiver of it.
  • No third-party beneficiaries: these Terms do not create any third-party beneficiary rights.
  • Notices: we may give notices to you by email or within the Service; you may contact us at hello@textent.site.

22. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms with a new effective date and, where appropriate, notify you. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
